In November 2024, the Kirkland Lake Golf Club (the “KLGC”) received notice from the Government of Ontario that under the amended Not-for-profit Corporation’s Act, share capital clubs that existed under Ontario’s Corporations Act must actively seek continuance either as a not-for-profit corporation without share capital, as a co-operative corporation, or as a for-profit corporation. In other words, with the legislated changes, and with the KLGC operating as a share capital club, changes were required in order for the KLGC to continue to be an active corporation in Ontario.
The Kirkland Lake Golf Club has long operated as a “not-for-profit” corporation. The Kirkland Lake Golf Club has historically not distributed profits to shareholders, and actively sought donations from sponsors and partners throughout the fiscal year to keep the Club operational. For these reasons, the Board of Directors unanimously agreed that the Club should seek not-for-profit status, without share capital.
Accordingly, notices were sent to registered shareholders at their last known addresses, and a Special Meeting of the Shareholders was held on October 16th, 2025, wherein the present shareholders unanimously resolved that the KLGC should continue as a Not-For-Profit Corporation and cancel all existing shares. The Board of Directors along with present shareholders authorized counsel for the KLGC to obtain a court order allowing the continuance without quorum, and to file Articles of Amendment to this effect.
Finally, on May 19, 2026, the Ministry of Public and Business Service Delivery accepted the filed Articles of Continuance, which approves the KLGC’s request to be incorporated as a Not-For-Profit Corporation, effective immediately.
The Board of Directors thanks our previous shareholders for their support and cooperation during this process. We are excited to continue as a not-for-profit in our 92nd year of operation, and to continue to engage with partners in the North East to grow, expand and modernize our facilities.
