📢 Constitution Amendments – AGM Discussion
As part of next week’s AGM, a series of proposed amendments to the Club constitution will be presented and discussed with members.
These proposed changes are intended to modernise the Club’s governance framework, improve compliance with current legislation and CBOS Incorporated Association requirements, and provide greater protection and clarity for Committee members and volunteers acting on behalf of the Club.
The amendments are also designed to ensure the constitution remains practical, current and fit for purpose as the Club continues to grow across men’s, women’s and junior cricket.
We encourage all members to attend the AGM, review the proposed amendments and be part of the discussion as we continue to strengthen the future of the Club. 🏏
1. Membership Refusal Clause - Current wording:
“The Committee shall have the right to refuse membership to any person without assigning any reason therefore.”
Proposed wording:
“The Committee shall have the right to refuse membership where it has reasonable grounds to do so. The applicant must be notified in writing of the decision and has the right to appeal at the next General Meeting.”
Purpose:
To improve procedural fairness and modern governance standards.
2. Gender Neutral Language - Replace references such as: “he or she”
With:
“they”
Purpose:
To modernise language and improve inclusiveness.
3. Executive Committee Powers - Current wording references: “minor or trivial” matters.
Proposed wording:
“urgent operational or routine administrative matters.”
Purpose:
To provide clearer governance boundaries and operational authority for the Executive Committee.
4. Committee Structure - Proposed wording:
“At each Annual General Meeting a minimum of three (3) and maximum of eight (8) Non-Executive Committee members may be elected.”
Purpose:
To provide appropriate governance structure, operational flexibility and manageable Committee size.
5. Electronic / Hybrid Meetings - New clause proposed:
“Committee meetings, General Meetings and Special General Meetings may be conducted in person, electronically, or by a combination of both, as determined by the Committee.
Members participating electronically shall be deemed present for the purposes of quorum and voting.”
Purpose:
To allow modern meeting practices, improve accessibility and ensure online participation is formally recognised.
6. Annual General Meeting Timing - Current wording:
“on a date determined by the existing committee.”
Proposed wording:
“within three (3) months of the end of the financial year.”
Purpose:
To improve consistency and accountability.
7. Voting Procedures - Additional wording proposed:
“Voting shall be conducted by secret ballot for elections, disciplinary matters, or where requested by two (2) or more members.”
Purpose:
To improve transparency and fairness.
8. Selection Panel / Director of Selection - New clause proposed:
“The Committee may appoint a Selection Panel or Director of Selection to oversee team selection, player development and cricket operations. The structure, roles and responsibilities shall be determined by the Committee from time to time.”
Purpose:
To formally recognise and support the Club’s cricket operations structure.
9. Constitution Amendment Notice Period - Current wording: “seven (7) days notice”
Proposed wording: “fourteen (14) days notice”
Purpose:
To allow members more time to review proposed amendments.
10. Disciplinary / Suspension Process - Additional wording proposed:
“Before any decision is made, the member must be given written notice of the allegations, a reasonable opportunity to respond, and any decision must be made by majority vote of the Executive Committee. The member has the right to appeal at a General Meeting where the matter shall be decided by secret ballot.”
Purpose:
To strengthen procedural fairness and reduce governance risk.
11. Conflict of Interest Clause New clause proposed:
“Any Committee member who has a direct or indirect interest in a matter must declare the nature of the interest, must not participate in discussion or voting on the matter, and the declaration must be recorded in the minutes.”
Purpose:
To align with good governance practices.
12. Child Safety Clause New clause proposed:
“The Club is committed to providing a safe environment for children and young people and complying with all relevant legislation and safeguarding requirements.”
Purpose:
To formally recognise the Club’s commitment to child safety and welfare.
13. Awards, Recognition & Player Incentives - New clause proposed:
“The Committee may establish awards, recognition programs and player incentive arrangements from time to time and may determine the criteria, eligibility and administration of such programs through Club policies and procedures.”
Purpose:
To allow the Club to administer awards and player incentive programs flexibly without requiring constitutional amendment for operational changes.
14. Financial Delegations & Spending Approvals - New clause proposed:
“The Executive Committee may approve operational expenditure up to $500.
Expenditure between $500 and $1,000 requires approval from two (2) Executive Committee members, with such approval recorded in writing, including electronic communication.
Expenditure exceeding $1,000 requires approval of the Committee.
In exceptional or urgent circumstances, the Executive Committee may act in the best interests of the Club provided such actions are reported to the Committee as soon as practicable.”
Purpose:
To provide clear financial authority, accountability and governance protection while allowing efficient day-to-day operations.
15. Electronic Communication & Circular Resolutions - New clause proposed:
“The Committee may make decisions outside a formal meeting through electronic communication or circulation of motions.
Any resolution approved by a majority of Committee members shall be deemed a valid Committee decision provided the outcome is recorded in the minutes of the next Committee meeting.”
Purpose:
To formally recognise modern communication methods and ensure operational decisions made outside meetings remain valid and properly recorded.
16. Delegation Authority / Subcommittees - New clause proposed:
“The Committee may establish subcommittees, panels, officers or working groups and delegate responsibilities as it sees fit.”
Purpose:
To formally recognise operational structures such as selection panels, wellbeing groups and working committees while maintaining Committee oversight.
17. Committee Protection / Indemnity Clause - New clause proposed:
“No Committee member shall be personally liable for any act or omission of the Club provided they have acted honestly, in good faith, and in the best interests of the Club.”
Purpose:
To provide reasonable governance protection for elected Committee members acting appropriately in their volunteer roles.
